These Terms of Use ("Terms") govern your access to and deployment of the website, software, databases, APIs, and commercial dashboards operated by Payn Solution LLC ("Company", "we", "us", or "our").
By interacting with our digital interfaces, you ("User" or "Client") express complete contractual acceptance of these Terms. If you are accessing this infrastructure on behalf of an enterprise, you warrant that you possess the explicit legal capacity to bind that corporate entity.
The visual dashboard layout, technical calculation models, automated workflows, APIs, databases, trademarks, and code deployed on our website represent the exclusive intellectual property of Payn Solution LLC or our platform licensing partners.
Users are granted a revocable, non-exclusive, non-transferable license to access our platform tools strictly to monitor business spending and manage corporate cards. Any attempt to reverse engineer, scrape, copy, or redistribute our platform components will result in immediate termination of access and the filing of legal claims for damages in state courts.
Clients are solely responsible for preserving the confidentiality of platform account login passwords, dual-factor authentication tokens, and API credentials.
Client must notify Payn Solution LLC within 24 hours at support@paynsolution.com if they detect any unauthorized access, suspicious software integration, or credential leakage within their corporate portal. Client is completely liable for all platform commands, programmatic card generations, or data alterations executed via their credentials prior to our team receiving an explicit lock request.
Payn Solution LLC delivers its website, user portals, and connection protocols on an "as-is" and "as-available" basis. We do not warrant that transaction ledgers, balance updates, or card issuance processes will be completely uninterrupted, uninterrupted by third-party database lag, or free from server outages.
To the maximum extent permitted by law, Payn Solution LLC, Stripe, and its affiliate partner banks shall not be held liable for any lost corporate profits, operational delays, data loss, or indirect business disruptions caused by temporary service down-time or transaction authorization failures.
These Terms of Use, alongside all platform operational frameworks, are governed by and construed in alignment with the laws of the State of Utah, disregarding any conflict of law parameters.
Any formal litigation or contractual dispute arising from this digital interface must be initiated and handled exclusively within the state or federal courts located in Salt Lake County, Utah.

By accessing or using our Services, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these conditions.
Payn Solution LLC operates as an independent commercial advisory firm, loan brokerage, and financial technology platform.
Payn Solution LLC is not a bank, insured depository institution, or money transmitter. All banking services, treasury accounts, funds transfers, and card issuing capabilities provided through our platform are cleared and settled strictly through our integrated financial infrastructure partners, including Stripe, Inc. and its sponsoring licensed banking institutions.
Your utilization of commercial debit/credit cards, treasury accounts, or payment processing rails is subject to the respective Stripe Services Agreement and the specific rules of the card networks (Visa, Mastercard) and National Automated Clearing House Association (NACHA).
To access our Treasury, Card Issuing, and Financial Connection modules, you must register a corporate account.
In compliance with Federal anti-money laundering (AML) regulations, the USA PATRIOT Act, and Stripe Identity verification protocols, we are required to collect, verify, and record information regarding your legal entity, beneficial owners, and authorized signatories. You agree to provide true, accurate, and current information. Failure to complete identity verification or provide valid corporate tracking documentation will result in immediate suspension or termination of your financial connections.
If you utilize the Payn Solution commercial card issuing module (debit or credit cards) or Treasury management services:
All cards, credit structures, and depository tools issued through our platform are provided strictly for business, commercial, or organizational expenditure. You explicitly agree that these services will not be used for personal, family, or household purposes.
You are solely responsible for all charges, cash drawdowns, and transaction liabilities incurred by individuals to whom you distribute authorized corporate cards.
You explicitly agree not to utilize our payment processing, treasury, or issuing infrastructure to conduct or facilitate any business category restricted under the Stripe Prohibited and Restricted Businesses framework. This includes, but is not limited to, unauthorized lending, illegal gambling, unregulated investment schemes, or deceptive marketing practices.
To the maximum extent permitted by applicable law, Payn Solution LLC, its financial partners, and its integrated networks shall not be liable for any indirect, incidental, special, exemplary, or consequential damages arising out of system downtime, transaction failures, processing delays, or bank settlement issues.
These Terms and your relationship with Payn Solution LLC are governed by the laws of the State of Utah, without regard to conflict of law principles. Any dispute, claim, or controversy arising out of or relating to these financial services shall be resolved through binding, individual arbitration in Salt Lake City, Utah.
