Payn Solution LLC – Integrated Commercial Card Agreement
This Commercial Card Services Agreement ("Agreement") constitutes a binding legal contract between Payn Solution LLC ("Company", "we", "us", or "our") and the commercial enterprise or business entity executing this document or applying for services via our portal ("Client", "you", or "your").
By submitting an application for corporate expense management accounts, activating a physical or virtual card, or permitting any employee, contractor, or representative to utilize our platform, you acknowledge full acceptance of all terms contained herein.
Section 1: System Architecture & Tri-Party Disclosures
1.1 Platform Service Role
Payn Solution LLC operates a proprietary commercial expense tracking and management platform. We act strictly as an intermediate program administrator providing commercial entities with access to transactional software tools and credit/debit monitoring parameters.
1.2 Stripe Issuing Program Structure
All physical and virtual commercial cards provided through our platform (each, a "Card" or "Cards") are structurally issued by a licensed partner bank ("Issuing Bank") via the Stripe Issuing program. Stripe, Inc. ("Stripe") acts as the primary underlying technology infrastructure provider and data processor.
1.3 Binding Third-Party Frameworks
Client’s access to, authorization of, and operational deployment of the Card Services is explicitly conditioned upon concurrent, ongoing adherence to this Agreement, the Stripe Issuing Accountholder Agreement, and all supplementary rules mandated by the respective Issuing Bank.
Section 2: Regulatory Compliance and Intent of Use
2.1 Absolute Consumer Prohibition
Client explicitly represents, warrants, and covenants that all Cards issued under this account shall be used exclusively for legitimate, authorized, commercial business expenses on behalf of the corporate entity. Under no circumstances shall any Card be deployed for personal, family, household, or consumer spending.
2.2 Waiver of Consumer Protection Statutory Frameworks
Client explicitly acknowledges that because these accounts are established solely for business purposes, consumer protection regulations—including, but not limited to, the Electronic Fund Transfer Act (Regulation E) and the Truth in Lending Act (Regulation Z)—do not apply to any Card transactions, dispute mechanisms, late fees, or program liabilities.
2.3 Identity Verification (KYC/KYB Mandates)
To fulfill federal Anti-Money Laundering (AML) mandates and FinCEN regulations, Client must submit validated legal documentation verifying the entity's corporate registration, active tax identification numbers (EIN), physical operating addresses, and the identities of all ultimate beneficial owners (UBOs) prior to account authorization.
Section 3: Delegation of Authority and Indemnification
3.1 Authorized Users
Client may designate specific employees, independent contractors, or corporate officers ("Authorized Users") to hold and execute transactions via virtual or physical Cards.
3.2 Joint and Several Liability
Client assumes absolute, unconditional liability for all transactional charges, network fees, processing penalties, cash withdrawals, and compliance infractions incurred by any Authorized User, regardless of internal corporate spending caps or a lack of explicit manager sign-off for a specific purchase.
3.3 Platform Indemnification
Client agrees to indemnify, defend, and hold harmless Payn Solution LLC, Stripe, and the Issuing Bank against any losses, legal damages, regulatory audits, or fines resulting from an Authorized User’s misuse of a Card, fraudulent data reporting, or violation of applicable commercial transaction laws.
Section 4: Funding Parameters & NACHA ACH Authorization
4.1 Pre-Funded Program Ledger
Client agrees to maintain a cleared cash balance within their program balance wallet prior to any real-time authorization request at a merchant point-of-sale.
4.2 Recurring CCD ACH Debit Authorization
Client hereby grants Payn Solution LLC and Stripe an ongoing, irrevocable authorization to initiate automated clearinghouse (ACH) debit entries from Client's linked primary business bank account. Transactions will be structurally categorized under NACHA operating standards as Corporate Credit or Debit (CCD) entries.
4.3 Settlement Lags
Client acknowledges that standard ACH debit transactions require a settlement timeline of 3 to 5 business days to clear banking networks. Funds are not available for deployment by Authorized Users until final settlement into the platform wallet is achieved.
4.4 Error Reversals
Client authorizes Payn Solution LLC and Stripe to initiate a one-time credit adjustment or debit reversal if an ACH entry is processed in error, duplicated, or miscalculated. Client must notify Payn Solution LLC immediately at support@paynsolution.com of any ledger errors.
Section 5: Fraud Detection, Risk, and Recoupment Timelines
5.1 Mandatory Real-Time Monitoring
Client is required to review transaction logs and statements daily via the platform dashboard. If a Card is lost, stolen, or compromised, Client must immediately freeze or deactivate the Card via the portal interface.
5.2 Commercial Network Dispute Window
Any billing discrepancies, merchant non-performance claims, or unauthorized charges must be formally logged within 60 days of the original settlement date. Chargebacks and commercial disputes are adjudicated solely under Mastercard/Visa commercial network rules by Stripe and the Issuing Bank. Their final determination is legally binding.
5.3 Absolute Right to Revoke
Payn Solution LLC, Stripe, or the Issuing Bank reserves the unconditional right to suspend, throttle, or permanently terminate any individual Card, user profile, or the entire corporate program infrastructure at any time without prior notice due to a breach of contract, elevated fraud metrics, or shifts in corporate credit risk profiles.
Section 6: Mandatory Onboarding Click-Wrap Certification
